Terms of Service for Gathrly

Welcome to Gathrly ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our mobile application and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account or using Gathrly, you confirm that:

• You are at least 13 years old
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and complete

2. Description of Service

Gathrly is a mobile application that helps users organize and manage social events by:

• Creating and sharing event information
• Integrating with calendar services (Google Calendar, Apple Calendar, etc.)
• Facilitating communication between event organizers and attendees
• Providing scheduling tools and notifications

3. User Accounts

Account Creation

• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account

Account Responsibility

• You are solely responsible for all activity that occurs under your account
• You may not share your account with others
• You may not create multiple accounts to circumvent restrictions

Account Termination

• You may delete your account at any time through the app settings
• We may suspend or terminate your account for violations of these Terms
• Upon termination, your access to the Services will cease immediately

4. Acceptable Use

You MAY:

• Create legitimate events and invite others
• Use calendar integration features as intended
• Communicate respectfully with other users
• Share appropriate content related to your events

You MAY NOT:

• Create fake, misleading, or spam events
• Harass, abuse, or threaten other users
• Share illegal, harmful, or inappropriate content
• Post content that is objectionable, offensive, or harmful, including but not limited to hate speech, sexual content, threats of violence, encouragement of self-harm, or content that sexualizes minors
• Attempt to hack, disrupt, or damage the Services
• Use the app for commercial advertising without permission
• Impersonate others or provide false information
• Violate any applicable laws or regulations

4a. Reporting and Enforcement

Gathrly provides in-app tools to report objectionable content and to block other users. We review all reports submitted within the app and aim to take action within 24 hours of submission. Depending on the violation, we may remove content, warn the user, suspend the account, or permanently ban the user from the Services.

We reserve the sole discretion to determine what constitutes a violation of these Terms or our Community Guidelines. There is no tolerance for harassment, hate speech, sexual content involving minors, threats of violence, or other illegal activity. Accounts engaged in such conduct will be removed.

To report content within the app, long-press a chat message, or use the menu on an event details page. To block a user, use the menu in your friends list. To contact us about anything else, email support@gathrlyapp.com.

5. Content and Intellectual Property

Your Content

• You retain ownership of content you create (event details, messages, etc.)
• By using our Services, you grant us a license to use your content to provide the Services
• You are responsible for ensuring your content doesn't violate others' rights
• We may remove content that violates these Terms

Our Content

• Gathrly and all its features, design, and functionality are owned by us
• You may not copy, modify, or distribute our app or its components
• Our trademarks and logos may not be used without permission

6. Calendar Integration

Third-Party Services

• Calendar integration connects to external services (Google, Apple, etc.)
• You are responsible for complying with those services' terms
• We are not responsible for third-party service availability or functionality
• You may revoke calendar access at any time

Data Access

• We only access calendar data necessary to provide scheduling features
• We do not store your calendar data permanently
• Calendar integration requires your explicit consent

6a. Location Search Integration

Gathrly's address autocomplete is powered by Mapbox's Geocoding API, which uses data from OpenStreetMap. By using the Location field when creating or editing events, you acknowledge that:

• Your typed search text and approximate location are sent to Mapbox to return address suggestions
• Mapbox's Terms of Service and Privacy Policy apply to data Mapbox processes
• We are not responsible for the accuracy or availability of Mapbox's geocoding results
• Address suggestions displayed in the app include attribution to Mapbox and OpenStreetMap as required by Mapbox's terms

7. Privacy

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Push Notifications

• We may send you notifications about your events and account activity
• You can control notification settings through your device or app settings
• Some notifications may be necessary for the proper functioning of the Services

9. Disclaimers and Limitations

Service Availability

• We provide the Services "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We may modify, suspend, or discontinue features at any time

Event Responsibility

• You are solely responsible for the events you create and attend
• We are not liable for event cancellations, changes, or disputes
• We do not verify the accuracy of event information

Limitation of Liability

• Our liability is limited to the maximum extent permitted by law
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed $100 or the amount you paid us (if any)

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit or share through the Services

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of California, United States, without regard to conflict of law principles.

Dispute Process

1. Direct Resolution: We encourage you to contact us first to resolve any disputes
2. Informal Negotiation: We will attempt to resolve disputes through good faith negotiation
3. Binding Arbitration: Unresolved disputes will be settled through binding arbitration
4. Class Action Waiver: You waive the right to participate in class action lawsuits

Arbitration Rules

• Arbitration will be conducted under the American Arbitration Association rules
• Arbitration will take place in California
• Each party will bear their own costs unless otherwise awarded

12. Changes to Terms

• We may modify these Terms at any time
• We will notify users of material changes through the app or email
• Continued use of the Services constitutes acceptance of modified Terms
• If you do not agree to changes, you must stop using the Services

13. Termination

By You

• You may stop using the Services and delete your account at any time

By Us

• We may terminate your access for violations of these Terms
• We may suspend the Services for maintenance or other business reasons
• Upon termination, these Terms remain in effect for applicable provisions

14. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Gathrly.

Assignment

You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
